KoalaCue Software Licence Agreement

You are granted a personal, non-exclusive, non-transferable, revocable and limited licence to install and use KoalaCue for macOS, and the KoalaCue Companion app, for your own production work, in accordance with this agreement and the plan you hold. The software is licensed, not sold; all rights not expressly granted are reserved.

• Free — A$0. Cues and view-only Preset Lab. No Recorder or Review.
• Recorder — A$25 per month or A$180 per year. Adds Recorder and Review capability.
• Full — A$50 per month or A$400 per year. Everything, including editable Preset Lab documentation.

Your licence covers only the capabilities of the plan you hold. Using a paid capability without a current paid licence for it is outside this licence. Paying annually costs less than twelve monthly payments: A$300 monthly versus A$180 annually for Recorder, and A$600 monthly versus A$400 annually for Full.

A paid licence may be active on exactly one Mac at a time, used by you or by the organisation that bought the licence. You may deactivate the Mac you are currently using and activate a replacement in its place. Free use does not require activation.

• share, lend, publish, rent, lease, sublicense, resell or otherwise transfer the software or a licence key;
• use one licence to give access to people or organisations outside the licence holder;
• circumvent, disable, patch or otherwise defeat licensing, activation, trial, device-limit or update mechanisms; or
• remove or alter any copyright, licence or attribution notice.

You may keep a reasonable number of copies of the installer and of the app for ordinary backup and disaster-recovery purposes. Backup copies remain subject to this agreement and may not be used to run more installations than your plan allows.

You must not decompile, disassemble or reverse engineer the software, or attempt to derive its source code, except to the extent that this restriction cannot lawfully be excluded — for example the limited interoperability and error-correction rights given by the Copyright Act 1968 (Cth). Where you have such a right, you may exercise it, and this clause does not restrict it.

Updates offered inside KoalaCue are provided under this agreement unless a release states different terms. Installing an update is your choice; updates may add, change or remove features, and running an old version may eventually stop working with current licence or console behaviour.

Show packages (.koala files), recordings, notes, photographs and documentation you create with KoalaCue are your content, stored locally on your own Mac. This agreement gives us no ownership of, and no licence to use, that content.

You are responsible for having the rights to everything you import into KoalaCue, including GDTF and fixture files, gobo images, photographs, video, audio and any other media, and for any consents required to record people, performances or venues. You must not import material you are not permitted to use, and you accept responsibility for claims arising from material you import.

KoalaCue includes third-party and open-source components which remain licensed under their own terms, and those terms prevail over this agreement for those components. Attribution and licence notices are provided with the software. Nothing here restricts a right you have under an applicable open-source licence.

KoalaCue is an independent companion for ETC Eos lighting teams. It is not an ETC product, not affiliated with or endorsed by ETC, not a replacement for Eos, and not a safety system. It must not be relied on for anything where failure could cause injury, damage or loss.

As the operator you must:

• verify on the console that any command or change did what you intended;
• keep independent Eos show-file and KoalaCue backups; and
• connect using a dedicated Eos user rather than sharing a user with a live programmer.

KoalaCue can send cue commands to Eos manually, after you deliberately enable Run Cues, and automatically, when recorded cue events trigger cues during Review. Both are opt-in. Cues may involve special effects, atmospherics such as haze or fog, strobes and flashing light, sudden blackouts, moving lights and other potentially unsafe lighting conditions.

Before you enable manual Run Cues or automatic cue triggering in Review, you must:

• review the cue list and the current playback position;
• verify the intended Eos target and user, and all connected equipment;
• ensure a competent, authorised operator is present, that venue risk controls, required warnings and exclusion zones are in place, and that a working manual override and emergency procedure is available; and
• decide that every cue and effect that may run is safe and lawful for that venue and for the people present.

The in-app acknowledgement does not inspect or certify cues, equipment, effects, venue conditions or safety, and it does not replace safe professional practice. KoalaCue must not be used as a safety, interlock, emergency-stop or sole control system for hazardous effects. To the maximum extent the law permits, LightAttractions Pty Ltd is not responsible for the consequences of cues or effects you command, arm or authorise. Nothing in this section excludes, restricts or modifies your rights under the Australian Consumer Law or any other right that cannot lawfully be excluded.

• Trial. Where offered, the card-free seven-day trial of Full requires no card and starts no subscription. Full access ends at the fixed seven-day expiry, and KoalaCue returns safely to Free without deleting, damaging, encrypting or hiding your local show files, recordings, notes or documentation. There is no promise that the trial can be restarted. This trial is separate from the seven-day offline window below, which is about an already-paid licence working without internet.
• Subscription. Paid licences are billed monthly or annually and renew automatically at their selected cadence until cancelled. Entitlement follows the licence status reported by the billing provider.
• Offline. Paid entitlements refresh daily when online and remain usable offline for no more than seven days from the last successful signed licence check. KoalaCue warns you beginning three days before expiry and shows the time remaining; if it cannot revalidate, it returns safely to Free at expiry.
• Transfer and ending. If a licence is transferred to another Mac, cancelled, refunded, fails to renew, expires or is revoked, an already-offline Mac can retain paid access only until that signed seven-day window ends.
• Downgrade. If a paid licence ends, expires, fails to renew, is refunded or is revoked, KoalaCue reverts to Free. Paid features become unavailable, but your local show files, recordings and documentation are never deleted, damaged, encrypted or hidden.

This licence ends if you breach it seriously or repeatedly, if a paid licence is revoked following a refund or chargeback, or if you stop using the software. On termination you must stop using capabilities you are no longer licensed for and may be required to deactivate installations. Termination never deletes, damages, encrypts or hides your local show files, recordings or documentation, and it does not remove your Australian Consumer Law rights.

Nothing in this agreement excludes, restricts or modifies any right, guarantee or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law, including a remedy for a major failure. Subject to that, and to the maximum extent the law allows, the software is provided as is, and liability is limited as set out in the Website and Sale Terms.
